Vancouver, B.C., Metallic Minerals Corp. (TSX-V: MMG; US OTC: MMNGF) (“Metallic Minerals”) announces a non-brokered private placement of $2,750,000 through the issuance of 12.5 million flow-through units (the “Units”) at a price of $0.22 per Unit (the “Private Placement”). Each Unit consists of one common shareand one-half of one common share purchase warrant (the “Warrants”). Each whole Warrant entitles the holder to acquire one common share at an exercise price of $0.25 for a period of 24 months following the closing date of the Private Placement.

Upon completion of the financing, Eric Sprott will hold a 13% interest in the Company on a non-diluted basis and 19% on a partially diluted basis.
The net proceeds of the Offering will be used primarily for further exploration of the Keno silver project in Canada’s Yukon Territory.
The Company has agreed to pay a finder’s fee to Mackie Research Capital equal to 4% of the gross proceeds received from the purchasers in cash or units.
The Private Placement is subject to final TSX-V approval and the Units are subject to a hold period of four months and one day from their date of issuance, under applicable Canadian securities law.
